Introduction
Your company may already have its own model collaboration agreements, and has perhaps concluded several such agreements already. It could also be that your company has entered into a first joint venture with one or more partners (for instance as a private limited company).

After concluding a collaboration agreement, in the course of time the question will always surface whether the collaboration is running smoothly, and whether the contract still suits what both parties want. It therefore makes sense to evaluate these contracts on a regular basis. This will refresh your company's picture of the made agreements, and of their suitability and their legal viability.

Goal and result
The goal of the legal check is to evaluate the existing collaboration contracts. This produces an overview of the current collaboration agreements and possible legal recommendations. Such an overview is moreover useful if your company is planning a merger or anticipates a takeover at some time in the next 3 years.

Methods
The legal check is based on a questionnaire developed by Alliance experts. Topics covered include goal and form of the collaboration, the distribution of profit and authority, and exclusivity.

 

Procedure
The legal check consists of a questionnaire about the collaboration agreements that your company has with other parties. We will explain the questionnaire in a conversation with your company. Next, one of your staff members can complete the questionnaire. Based on the answers, we shall provide you with a report offering a legal picture of your collaborations and any legal recommendations or improvement points. We shall go over this report with you in a personal conversation.

Price
The legal check costs SGD 3500, VAT exclusive, on the assumption that the questionnaire is properly completed by your company. On request we can also complete the scan for you using documents that you provide to us. Collaboration contracts can also be amended if this proves necessary or desirable. For these activities, a standard hourly rate applies.
