Toolkit business model & contractual arrangements

Introduction
You have selected a partner and wish to get the collaboration underway quickly. But how to go about it, and how to deal with questions of how to split costs and income, joint inventions or new work methods, and how to arrange decision-making authority? In short, how do you create the right business model and an effective agreement framework? These are matters that need to be considered carefully, and this is where the input of a third party, such as Alliance experts, can be very useful.

Goal and result
The goal of the toolkit business models and agreement framework is to determine in what way and according to what form you wish to work with your selected partner. Briefly put: who does what and how is this arranged?

The result of the toolkit is an outline of the business model appropriate to your desired collaboration and an agreement framework. This agreement framework can optionally be established in consultation with your partner. The agreement framework lays an important foundation for the collaboration agreement, due to be drawn up and signed at a later stage.

Methods
We work with a questionnaire as described above. By applying the knowledge and expertise of Alliance experts to the answers you provide, we can determine the most appropriate business model and a contractual framework. For this we can rely on an extensive set of alliance forms with associated agreements, developed on the basis of our experience and scientific literature.

Procedure
We guide this process over the course of two half-days, with or without your intended partner. We furthermore take time to prepare and elaborate your specific case. Previous to the first half-day we shall provide you with list of questions about the intended collaboration. Your answers form the basis for our first discussion, in which we shall determine together which business model is most appropriate for your collaboration.

Using the input of the first half-day, Alliance experts will then draw up a provisional contractual framework. This is discussed in the second half-day and elaborated further. We can modify the agreement framework on the spot, in such a way that it can serve as a foundation for the prospective collaboration agreement.

Price
This toolkit costs SGD 3500, VAT exclusive. On request we can also draw up the collaboration agreement, for which a standard hourly rate applies.
